Acceptance of Terms
By accessing or using the services provided by ShirePath Solutions ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, users, and clients who access or use our website and services.
Description of Services
ShirePath Solutions provides professional web development, design, and technical business consulting services, including but not limited to:
- Custom website design and development
- Web application development
- E-commerce solutions
- Website maintenance and support
- Technical business consulting and strategy
- Technology assessment and recommendations
- Digital transformation guidance
The specific scope of services for each project will be defined in a separate agreement or statement of work.
User Responsibilities
When using our services, you agree to:
- Provide accurate and complete information as requested
- Maintain the confidentiality of any account credentials
- Use our services only for lawful purposes
- Not interfere with or disrupt our services or servers
- Provide timely feedback and approvals as needed for project completion
- Ensure you have the right to use any content or materials you provide to us
Intellectual Property
Our Work Product: Upon full payment, you will own the custom code, designs, and content created specifically for your project, unless otherwise specified in your agreement. We retain the right to display completed work in our portfolio.
Third-Party Components: Some projects may incorporate third-party software, libraries, or assets that are subject to their own license terms. We will inform you of any such components and their applicable licenses.
Our Materials: Any proprietary tools, frameworks, or methodologies we use remain our intellectual property and may be used in other client projects.
Payment Terms
- Project Fees: Payment terms, including deposits and milestone payments, will be outlined in your project agreement.
- Invoicing: Invoices are due within 30 days of receipt unless otherwise agreed upon in writing.
- Late Payments: We reserve the right to suspend work on projects with outstanding balances beyond the due date.
- Refunds: Deposits are non-refundable once work has commenced. Refunds for other payments will be handled on a case-by-case basis as outlined in your project agreement.
Confidentiality
We respect the confidentiality of your business information. Any proprietary or sensitive information shared during our engagement will be kept confidential and will not be disclosed to third parties without your consent, except as required by law. This obligation continues after the completion of our services.
Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- We do not guarantee that our services will be uninterrupted, error-free, or meet all of your specific requirements beyond the agreed scope.
Warranties
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. For development projects, we provide a 30-day warranty period after delivery during which we will fix any bugs or issues at no additional cost. Beyond this warranty period, maintenance and support services are available under separate agreement.
Termination
Either party may terminate the service agreement:
- With written notice as specified in the project agreement
- Immediately if the other party breaches a material term
- Immediately if the other party becomes insolvent or bankrupt
Upon termination, you will be responsible for payment of all work completed up to the termination date. We will provide you with all completed deliverables for which payment has been received.
Privacy
Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our services, you consent to the collection and use of information as described in our Privacy Policy.
Modifications to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website with an updated "Last updated" date. Your continued use of our services after any changes constitutes acceptance of the modified terms. We encourage you to review these terms periodically.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be resolved in the courts located in Maury County, Tennessee.
